Terms of Service

1. Service Description
ComplyGear is a cloud-hosted compliance management platform operated by GrimmGear (Pty) Ltd (Registration Number: pending, hereinafter "GrimmGear", "we", "us", or "our"). The platform assists accounting firms, company secretaries, and businesses in managing statutory compliance obligations including CIPC filings, SARS returns, B-BBEE certifications, and other regulatory deadlines across South Africa.
By registering for or using ComplyGear, you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Account Registration and Responsibilities
To use ComplyGear, you must register an account by providing accurate and complete information including your firm name, contact email, and a secure password. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring that all information you provide is accurate, current, and complete
- Notifying us immediately of any unauthorised use of your account
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your organisation.
3. Subscription and Payment Terms
ComplyGear offers a 14-day free trial on all plans. No credit card is required to start your trial. After the trial period:
- Monthly billing: Subscription fees are charged monthly in advance in South African Rand (ZAR).
- Annual billing: Annual subscriptions are billed upfront at a discounted rate (equivalent to 10 months).
- Payment method: Payment is made via EFT (Electronic Funds Transfer) to our designated bank account. Payment details are provided on your billing page and invoices.
- Late payment: If payment is not received within 14 days of the invoice date, we reserve the right to suspend your account until payment is received.
Prices are exclusive of VAT (15%) unless otherwise stated. All prices are subject to change with 30 days' written notice.
4. Data Ownership
You own your data. All client information, company records, compliance data, and documents you upload to ComplyGear remain your property. We do not claim any ownership rights over your data.
You may export your data at any time in standard formats (CSV, PDF). Upon account cancellation, you will have 30 days to export your data before it is permanently deleted from our systems.
5. Limitation of Liability
ComplyGear is a compliance management tool designed to assist with tracking deadlines and obligations. ComplyGear does not provide legal, tax, or professional advice.
To the maximum extent permitted by South African law:
- GrimmGear shall not be liable for any penalties, fines, or losses arising from missed deadlines, even if such deadlines were tracked within the platform.
- Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
You remain solely responsible for ensuring compliance with all applicable laws and regulations.
6. Cancellation and Refund Policy
You may cancel your subscription at any time from your account settings or by emailing support@grimmgear.com.
- Monthly subscriptions: Cancellation takes effect at the end of the current billing period. No refunds for partial months.
- Annual subscriptions: A prorated refund will be issued for the remaining unused months, calculated from the date of cancellation.
- Trial accounts: You may cancel during the trial period at no cost.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Share your account credentials with unauthorised third parties
- Use automated tools to scrape, copy, or extract data from the Service beyond your own account data
- Upload malicious content, viruses, or harmful code
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Gauteng Division of the High Court of South Africa, Johannesburg.
9. POPIA Compliance
We process personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA). Our processing of your data is detailed in our Privacy Policy. By using ComplyGear, you consent to the processing of your personal information as described therein.

10. Modification of Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Service Availability
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and shall not be liable for any downtime, whether planned (maintenance) or unplanned (technical issues, force majeure events).
